1. About Us


These Terms & Conditions apply to the use of services provided by Pulse Utilities Ltd (“we”, “us”, “our”). We operate as a commercial energy broker, assisting business customers in sourcing and arranging gas and electricity supply contracts with third-party energy suppliers.


Pulse Utilities Ltd is not an energy supplier. Any energy supply contract is entered into directly between the customer and the chosen supplier.


2. Scope of Our Services


Our services may include, but are not limited to:


Reviewing existing commercial energy arrangements


Sourcing and presenting energy contract options


Facilitating communication with energy suppliers


Supporting contract renewals, switches, or changes


Providing account support relating to energy procurement


We do not guarantee access to every supplier in the market, nor do we guarantee the lowest available price. Contract suitability may be assessed using a range of factors including pricing structure, contract terms, and supplier availability.


3. Letter of Authority


In order for us to act on your behalf, you may be required to provide a Letter of Authority (LOA). This authorises us to engage with suppliers, request pricing, and manage aspects of the procurement process on your behalf.


Services will not commence until a valid LOA has been received where required.


4. Customer Responsibilities


You agree to:


Provide accurate, complete, and up-to-date information when requested


Notify us promptly of any change in circumstances that may affect our services


Cooperate reasonably with us and relevant suppliers


Ensure all supplier invoices and contractual obligations are met directly with the supplier


You acknowledge that delays, inaccuracies, or omissions may affect pricing, availability, or contract outcomes.


5. Commission & Remuneration


We may receive commission or other remuneration from energy suppliers for introducing or arranging contracts. This commission is typically included within the unit rate or overall contract pricing agreed with the supplier.


Commission structures vary between suppliers. Further information regarding how we are remunerated can be provided upon request.


6. Change of Tenancy / Occupancy


A Change of Tenancy (COT) may occur where there is a change in occupier, business structure, or legal entity at a premises.


You agree to notify us promptly of any anticipated or completed change of tenancy or occupancy. Failure to do so may result in delays, additional supplier charges, or the termination of an arranged contract.


Where we are instructed to assist with a Change of Tenancy, additional information or documentation may be required, including meter readings, lease details, or confirmation of occupancy.


7. Limitation of Liability


We are not responsible for the supply of energy, supplier billing accuracy, or supplier performance. These remain the responsibility of the chosen supplier.


To the fullest extent permitted by law, our liability for any claim arising in connection with our services shall be limited to the amount of commission received by us in respect of the relevant contract.


We shall not be liable for indirect or consequential losses, including loss of profits, business interruption, or loss of anticipated savings.


Nothing in these Terms excludes liability for death or personal injury caused by negligence or for fraud.


8. Suspension or Termination of Services


We may suspend or terminate our services if:


Information provided is misleading or materially inaccurate


Cooperation required to deliver services is not provided


There is a material breach of these Terms


Termination does not affect any rights or obligations accrued prior to termination.


9. Data Protection


We process personal data in accordance with applicable UK data protection legislation. Information provided may be shared with energy suppliers or service partners where necessary to deliver our services.

10. Confidentiality


Both parties agree to keep confidential any commercially sensitive or confidential information disclosed during the course of the relationship, except where disclosure is required by law or regulatory authority.


11. Complaints


If you are dissatisfied with our service, please refer to our Complaints Procedure, which outlines how to raise concerns and how complaints are handled, including escalation options.


12. Governing Law


These Terms & Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.


13. General


These Terms represent the entire understanding between the parties relating to the services described. No waiver of any provision shall be effective unless made in writing.


If any provision is found to be unenforceable, the remaining provisions shall continue in full force.
